These Terms of Service explain the rules that apply when you access or use the websites, products, demos, previews, beta versions, documentation and related services provided by DEFORM GEOSCIENCE LTD, including Faultwise and Deform.

Please read these Terms carefully. By creating an account, accessing a Free Preview or Demo, requesting Academic Access, using a beta version, uploading files, using our websites or otherwise using our services, you agree to these Terms.

If you do not agree to these Terms, you must not use our services.

In these Terms, "DEFORM", "we", "us" or "our" means DEFORM GEOSCIENCE LTD.

3. Relationship with other agreements

These Terms do not replace our Privacy Policy.

Our Privacy Policy explains how we collect, use, store and protect personal data when you use Faultwise, Deform, our websites and related services.

Paid commercial access to Faultwise or Deform is subject to a separate Software Licence Agreement, quote, invoice, order form or other written agreement. We do not provide paid commercial access unless the relevant paid access terms have been agreed.

If there is a conflict between these Terms and a separate written agreement signed or agreed by DEFORM for paid commercial access, the separate written agreement will control for that paid commercial access.

Unless a separate written agreement says otherwise, these Terms continue to apply to website use, account use, acceptable use, security, intellectual property, demo access, academic access, confidentiality and general restrictions.

4. Intended users

Faultwise and Deform are intended for business, professional, academic and research users in geoscience and related fields.

They are not intended for children or for general consumer use.

You must only use the services if you have the legal capacity and authority to accept these Terms. If you use the services on behalf of an organisation, you confirm that you have authority to do so and that the organisation is also bound by these Terms.

5. Accounts

You may need to create an account to use certain parts of Faultwise or Deform.

You must provide accurate account information and keep it up to date.

Each account is for one named user only unless we agree otherwise in writing. You must not share your login details, allow another person to use your account, pool access within a team, resell access, or use one account for multiple users.

You are responsible for all activity that occurs through your account.

You must keep your password and authentication details secure and notify us promptly if you believe your account has been compromised.

We may refuse, suspend or terminate an account if we reasonably believe that it has been misused, shared, compromised, created using false information, used in breach of these Terms, or used in a way that creates legal, security, sanctions, export-control or operational risk.

6. Faultwise Free Preview

Faultwise may include a free preview mode called Free Preview.

Free Preview is intended to let users explore Faultwise using demo datasets provided by us.

Unless we state otherwise, Free Preview:

Free Preview is not paid commercial access. It must not be used for final client deliverables, production use, paid consultancy work, commercial reliance, safety-critical decisions or operational decisions.

We may change, limit, suspend or discontinue Free Preview at any time.

7. Faultwise Demo

Faultwise may include a time-limited demo mode called Demo.

The standard Demo period is 7 days, unless we agree otherwise.

During the Demo period, we may allow you to:

We may extend, shorten, suspend, withdraw or modify Demo access at our discretion.

Demo access is provided for evaluation, testing and internal assessment only. It is not intended for production use, final client deliverables, paid consultancy deliverables, commercial reliance, safety-critical decisions or operational decisions unless we agree otherwise in writing.

When the Demo period ends, your account may return to Free Preview or limited access.

8. Academic Access

We may provide Academic Access to verified academic, educational or research users.

Academic Access may be provided for Faultwise, Deform or both, as specified by us when access is granted. Not all products, features or access types are available for all users at all times.

Academic Access is provided manually and at our discretion. Unless we agree otherwise, Academic Access is normally provided for up to 12 months.

We may ask you to provide information to verify your academic status, institution, course, research project or intended use.

If you use Faultwise or Deform through Academic Access in publications, posters, presentations, teaching materials or research outputs, you must acknowledge the use of Faultwise or Deform where the services materially contributed to the analysis, figures, models, outputs or conclusions.

We may suspend, withdraw or refuse Academic Access if we reasonably believe that it is being used outside the permitted academic scope or otherwise in breach of these Terms.

Academic Access is not paid commercial access and does not grant any right to use the services for commercial client work.

9. Deform beta access

We may provide access to Deform as a closed beta, demo or evaluation desktop application.

Deform is currently provided as closed beta, demo or evaluation desktop access unless we agree otherwise in writing.

Deform beta access is provided at our discretion and may be changed, suspended or withdrawn at any time.

Unless we state otherwise:

We do not guarantee that beta versions will be uninterrupted, error-free, compatible with your system, available for any particular period, or developed into a final commercial product.

10. Paid Commercial Access

Paid commercial access to Faultwise or Deform is available only by separate agreement.

Paid access may be subject to a quote, invoice, order form, Software Licence Agreement, Data Processing Agreement or other written agreement.

Unless we agree otherwise in writing:

Paid Commercial Access may allow commercial use, client work or consultancy use only to the extent allowed by the applicable Software Licence Agreement or other written agreement.

Payment does not remove your responsibility to check, verify and professionally interpret any outputs generated using the services.

11. Consultants and third-party client work

Consultants may use the services for their own client work only where their access type permits commercial use and where they have the necessary rights to use the relevant data.

Demo access and Academic Access do not allow final paid client deliverables or commercial reliance unless we agree otherwise in writing.

You must not:

12. User data and uploads

Faultwise may allow you to upload geological, geospatial, image, project, configuration or related technical files.

You retain ownership of your uploaded files and data.

By uploading files or data, you give DEFORM a limited right to receive, store, process, transmit, analyse, display and generate outputs from that data only as needed to provide, operate, secure, troubleshoot and support the services.

You are responsible for ensuring that:

Faultwise is not intended to be a long-term storage or backup service.

You are responsible for keeping your own copies of uploaded files, source data, project data and outputs.

We may delete temporary files, session data, uploaded files or outputs after inactivity, session reset, redeployment, termination, suspension, security review, compliance review or operational need.

We do not use customer uploaded files to train or fine-tune general AI models unless separately agreed.

We do not use the contents of customer uploaded files or project data for product training, internal QA datasets, benchmarking, model training, model fine-tuning or general product development unless separately agreed in writing. This does not prevent limited access where necessary to provide the service, respond to a support request, troubleshoot a technical issue, investigate a security incident, comply with law, or protect the security and integrity of the services.

13. Confidentiality

Each party may receive non-public, confidential or proprietary information from the other party.

Confidential information may include uploaded data, project information, technical information, product information, beta features, business information, support communications, pricing discussions and other non-public information.

The receiving party must use the other party's confidential information only as needed to provide, receive, evaluate, support, secure or improve the services, or as otherwise allowed by these Terms or a separate written agreement.

For customer uploaded files and project data, "improve the services" does not mean using the contents of those files or project data for product training, internal QA datasets, benchmarking, model training, model fine-tuning or general product development unless separately agreed in writing.

The receiving party must protect confidential information using reasonable care and must not disclose it except to its employees, contractors, professional advisers, service providers or affiliates who need access and are bound by confidentiality obligations, or where disclosure is required by law.

Confidential information does not include information that is public, already known without restriction, independently developed without use of the confidential information, or lawfully received from a third party without confidentiality restrictions.

This section does not limit any stronger confidentiality obligations that may apply under a separate Software Licence Agreement, Data Processing Agreement, NDA, order form or other written agreement.

14. AI-assisted features

Faultwise may include AI-assisted features, such as chat, explanations or summaries of fault metrics and related geological concepts.

AI-assisted features are provided for convenience and decision support only. They may produce incomplete, inaccurate, misleading or unsuitable responses.

You are responsible for reviewing and verifying all AI-generated content before relying on it.

AI responses are not geological, engineering, legal, regulatory, financial, investment, safety or operational advice.

You must not rely on AI-assisted features as the sole basis for professional, commercial, operational, safety-critical, regulatory, investment, drilling, exploration, mining, geothermal, CO₂ storage or field-development decisions.

We may change, limit, suspend, remove or replace AI providers, models, features or functionality at any time.

15. Outputs, professional judgement and no sole reliance

Faultwise and Deform are decision-support tools.

The services may generate visualisations, calculations, metrics, interpretations, AI responses, exports, models, restored sections, fault analysis outputs, stress or fault-related outputs, reports or other results.

All such outputs are provided for analysis, visualisation, evaluation and decision-support purposes only.

Outputs may be incomplete, inaccurate, unsuitable, misleading or dependent on the quality of input data, assumptions, parameters, algorithms, model limitations, user choices and interpretation.

You are responsible for:

You must not rely on the services or outputs as the sole basis for drilling, exploration, field development, mining, geothermal, CO₂ storage, engineering, safety-critical, operational, regulatory, financial, investment or similar decisions.

DEFORM is not responsible for decisions, actions, losses or consequences arising from your interpretation, use or reliance on outputs, except to the extent that liability cannot be excluded or limited by law.

16. Demo data and third-party data

Faultwise may include demo datasets from third-party, open, public or academic sources.

Demo datasets are provided for demonstration, familiarisation and evaluation only. They may not be complete, current, accurate, suitable for site-specific analysis or appropriate for professional reliance.

We do not claim ownership of original third-party demo data.

We may convert, format, simplify, adapt or prepare third-party data for use in Faultwise, including preparing compatible geometry or surface files such as TSurf files. Any such formatting is for demonstration purposes and does not change ownership of the original source data.

You must comply with any source licences, terms, attribution requirements or restrictions that apply to demo datasets.

Demo datasets may include, for example:

New Zealand Community Fault Model

Faultwise may use data derived from the New Zealand Community Fault Model, made available by GNS Science and related contributors.

Where required, attribution should be provided to the original source and licence information. The New Zealand Community Fault Model is provided by its original providers under its own terms and licence. It is not provided or endorsed by DEFORM.

USGS dataset

Faultwise may use data derived from the United States Geological Survey publication SIM 3469 or related USGS materials.

USGS-authored materials are generally in the public domain in the United States, but USGS should be acknowledged as the source. Any third-party material included in or associated with a USGS publication remains subject to its own rights and restrictions.

We provide demo data without warranty and without endorsement by the original data providers.

17. Acceptable use and restrictions

You must use the services lawfully, responsibly and in accordance with these Terms.

18. Sanctions, export controls and restricted use

You must not access, use, export, re-export, transfer, release, upload data to, download from, make available or otherwise use the services, software, outputs, documentation or related technology in any way that would breach applicable sanctions, export-control, trade-restriction or similar laws.

You represent and warrant that:

We may screen users, accounts, organisations, transactions, access locations, uploads and intended uses.

We may request information from you about your identity, organisation, location, ownership, project, end-user or end-use.

We may refuse, suspend, restrict or terminate access, block uploads, reject transactions, delete or quarantine data, or take other action if we reasonably believe there is a sanctions, export-control, security, legal or compliance risk.

You must notify us promptly if your status, location, ownership, control, intended use or project circumstances change in a way that could affect compliance with this section.

19. Intellectual property

DEFORM and its licensors own all rights, title and interest in and to Faultwise, Deform, our software, websites, interfaces, workflows, algorithms, documentation, trademarks, branding, know-how and related intellectual property.

Except for the limited rights expressly granted to you under these Terms or a separate written agreement, no rights are transferred to you.

You may not use our trademarks, logos, product names or branding without our permission, except where necessary to accurately identify the services.

Your uploaded data remains yours, subject to the limited processing rights described in these Terms.

Feedback, suggestions or ideas that you provide may be used by us to improve our products and services without obligation to compensate you, provided we do not use your confidential uploaded data except as allowed by these Terms or a separate agreement.

20. Publicity and customer identification

If an organisation purchases paid commercial access, we may identify that organisation by name as a customer or user of Faultwise or Deform, unless the organisation asks us not to or a separate written agreement says otherwise.

For Demo access, Academic Access, beta access or other evaluation use, we will not publicly identify an organisation by name as a user, academic user, beta user, collaborator or customer without prior written permission, unless the organisation has clearly requested or approved such identification.

We will not use your organisation's logo, trademark, project name, project information, case study, testimonial, quotation or detailed usage information in public marketing materials without prior written permission.

We may refer privately to customer or user relationships in investor, sales, due diligence or business development discussions where reasonably necessary, provided that we do not disclose confidential information and do not state or imply endorsement, sponsorship, partnership or formal recommendation unless separately agreed.

Where any such reference involves personal data, we will handle that personal data in accordance with our Privacy Policy.

We will not use an individual person's name, photograph, personal testimonial, quotation or case study publicly without appropriate permission.

If a separate written agreement restricts or removes our publicity rights, that separate written agreement will control.

21. Support, availability and changes

Support for Free Preview, Demo, Academic Access and beta access is provided on a best-effort basis only. We do not guarantee any response time for free, demo, academic or beta users.

Support for paid customers will be described in the applicable Software Licence Agreement, order form or written agreement.

We may change, update, suspend, discontinue or remove any part of the services at any time.

The services may be unavailable, interrupted, delayed, inaccurate or affected by maintenance, updates, redeployments, hosting issues, third-party service issues, AI provider issues, internet connectivity, security issues or other operational reasons.

We do not provide an uptime commitment for Free Preview, Demo, Academic Access or beta access.

22. Suspension and termination

We may suspend, restrict or terminate your access to the services if we reasonably believe that:

On suspension or termination, you must stop using the relevant services and must not attempt to create a new account to bypass the suspension or termination.

We may delete temporary files, session data, uploaded files or outputs after suspension, termination, inactivity, redeployment or operational need.

23. Disclaimers

The services, software, Free Preview, Demo, Academic Access, beta versions, demo datasets, AI-assisted features, documentation and outputs are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, we disclaim all warranties, representations, conditions and guarantees, whether express, implied or statutory, including warranties of accuracy, completeness, availability, reliability, fitness for a particular purpose, non-infringement, merchantability and satisfactory quality.

We do not warrant that:

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

24. Limitation of liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

To the fullest extent permitted by law, DEFORM will not be liable for:

For Free Preview, Demo, Academic Access and beta access, our total aggregate liability arising out of or relating to those access types will not exceed £100, except where liability cannot be excluded or limited by law.

For paid commercial access, the applicable liability cap will be set out in the relevant Software Licence Agreement, order form or other written agreement.

25. Privacy

Our Privacy Policy explains how we collect, use, store, share and protect personal data, including personal data processed through accounts, demo requests, support communications, licence checks, billing, website analytics and, where applicable, uploaded files that contain personal data.

By using the services, you acknowledge that your personal data will be processed in accordance with our Privacy Policy.

26. Changes to these Terms

We may update these Terms from time to time.

When we make changes, we will update the "Last updated" date at the top of this page.

If changes are significant, we may provide additional notice where appropriate.

Your continued use of the services after changes take effect means that you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using the services.

27. Governing law and courts

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes arising out of or relating to these Terms, except where applicable law requires otherwise.
